Terms and conditions

Our general terms and conditions and the costs of the matchmaking service.

Below you will find the general terms and conditions of Hisaab (Article 1 through 10) and an overview of our services and costs.

Article 1 General provisions

1.1 Welcome to Hisaab! We are a company that specialises in matchmaking and mediation for marriage within the Muslim community in the Netherlands and Belgium.

1.2 These general terms and conditions apply to everything we do at Hisaab, including but not limited to offers and agreements between us and our clients, hereinafter referred to as "clients".

1.3 If we deviate from these general terms and conditions, this must be agreed in writing and explicitly between us and the clients.

1.4 We explicitly reject any purchasing or other terms and conditions of the client.

1.5 If one or more provisions in these general terms and conditions are declared invalid, void or annulled, the other provisions remain in force. We will then replace the invalid, void or annulled provisions with new provisions that correspond as closely as possible to the invalid, void or annulled provisions.

1.6 The fact that we do not, at any given time, demand compliance with one or more provisions of the agreement, including the provisions in these general terms and conditions, does not affect our right to demand compliance by the client at a later time.

1.7 These general terms and conditions do not apply if we deviate from them in the agreement between us and the client.

Article 2 Offers, formation and amendment of the agreement

2.1 At Hisaab we do our best to make the best offers to our clients.

2.2 An agreement is only formed once our client makes the requested payment.

2.3 Once we have an agreement, it can only be amended if we reach written agreement on this with the client. For example, we can only agree in writing to changes in the quantity or price of the services we provide.

Article 3 Prices and payment

3.1 Prices and VAT. All prices quoted by Hisaab are exclusive of VAT and other government-imposed levies, unless explicitly stated otherwise. Payments must be made inclusive of VAT and/or other levies.

Article 4 Complaints

4.1 Client's duty to inspect. It is the client's responsibility to inspect goods, services and works directly upon receipt for visible defects. If visible defects are found, the client must report this to Hisaab in writing within 8 days of receipt.

4.2 Burden of proof for complaints. In the event of a complaint by the client, the burden of proof that the delivered item does not meet the agreement rests with the client. If Hisaab considers the complaint justified, it will proceed to repair or replace the item delivered.

4.3 Limitation period. A complaint by the client is only valid if made within a reasonable period. A reasonable period is not defined by law, but in practice a period of 2 months after discovery of the defect is considered reasonable. Complaints submitted after this period will no longer be processed.

Article 5 Dissolution and termination

5.1 Dissolution by Hisaab. Without being liable for any damages as a result, Hisaab may dissolve its agreement with the client, in writing, with immediate effect and without judicial intervention, in whole or in part, if: a. the client has concluded the marriage through Hisaab's mediation; the client has concluded the marriage outside Hisaab's mediation; the client submits a written request to withdraw their own registration; the client displays demonstrably disorderly conduct during the process leading up to the marriage that does not fit within Islamic guidelines.

5.2 Termination by the parties. If the agreement, by its nature and content, does not end through a specific performance and has been entered into for an indefinite period, either party may terminate it in writing, after due consultation and stating reasons. If no notice period has been agreed between the parties, a reasonable notice period must be observed when terminating. In that case, Hisaab will never be liable for damages as a result of the termination.

Article 6 Termination or suspension

Termination or suspension of the agreement. If, due to force majeure, performance of the agreement without shortcoming is not possible for Hisaab, it has the right to terminate the agreement in whole or in part, or to temporarily suspend performance of the agreement, without being liable for any damages.

Definition of force majeure. Force majeure means a circumstance that prevents performance of the agreement and cannot be attributed to Hisaab. Examples include threats against personnel, deaths or illness of personnel, business disruptions, government measures and transport disruptions, whether these occur at Hisaab or at its suppliers.

Invoking force majeure after the due date. Hisaab has the right to invoke force majeure even if the non-attributable circumstance preventing performance of its obligation only arises after it should have fulfilled that obligation.

Article 7 Liability

Limitations of liability. Hisaab is not liable for damages except in the cases described in this article.

Exclusion of indirect damages. Hisaab is not liable for indirect damages, including consequential damages, loss of profit, missed savings and damage due to business interruption.

Limitation of direct damages. Hisaab is only liable for direct damages resulting from an attributable shortcoming in its obligations under the agreement or from an unlawful act, up to an amount equal to the amounts invoiced or to be invoiced under the agreement, excluding VAT and other government levies, up to a maximum of 50,000 euros.

Conditions for liability. Hisaab's liability only arises if the client has given Hisaab written and proper notice of default, allowing a reasonable period to remedy the shortcoming, and Hisaab remains attributably in default of its obligations after that period.

Force majeure. Hisaab is not liable if a shortcoming is the result of force majeure.

Exception to limitations. The limitations set out in this article do not apply if the damage is the result of intent or gross negligence on the part of Hisaab or its managerial subordinates.

Limitation period. Any claim for liability against Hisaab lapses after one year, calculated from the moment the damage arose, provided that any liability of Hisaab in any case lapses after one year, calculated from the end of the agreement most closely connected to the damage.

Article 8 Indemnification

Indemnification for non-performance of obligations. The client indemnifies Hisaab against all possible claims by third parties arising from the client's non-performance of the obligations resting on the client under an agreement and these general terms and conditions.

Indemnification for damages. The client further indemnifies Hisaab against claims by third parties relating to damage arising in connection with the performance of an assignment. If the client is held liable by a third party for damage for which the client and/or the third party may hold Hisaab (jointly) liable, the client must notify Hisaab of this in writing within 8 days of the third party's claim.

Settlement of claims. The client will only settle such claims in consultation with Hisaab, on pain of forfeiture of the client's claims against Hisaab.

Article 9 Confidentiality

The parties acknowledge the confidential nature of the information they receive from each other in connection with the agreement. They undertake to keep all confidential information secret and to use it solely for the purpose for which it was provided.

Confidential information means all information, in whatever form, that is designated as confidential by one of the parties or that can reasonably be assumed to be confidential in nature.

The parties will take all reasonable measures to protect the confidential information and will not disclose this information to third parties, except to the extent necessary for the performance of the agreement or where legally required to do so.

The confidentiality obligation remains in force even after termination of the agreement. If a party is required to provide information to a third party, for example to a government body or a supervisory authority, that party will promptly inform the other party of this, unless a statutory provision prohibits that party from informing the other party.

In the event of a breach of the confidentiality obligation, the breaching party is liable for the damage suffered by the other party as a result.

Article 10 Disputes and applicable law

Dispute resolution. If disputes arise between the client and Hisaab that cannot be settled amicably, these will be submitted to the competent court in The Hague. Both parties will comply with the judgment of that court.

Applicable law. All agreements between the client and Hisaab are governed by Dutch law. Any disputes between the parties will be settled in accordance with Dutch legislation and case law.

Services and costs

In addition to the general terms and conditions above, the following practical arrangements apply to the matchmaking service, covering the process and the costs.

Sign-up fee (one-off)

When you register, Hisaab reviews your registration form, conducts a telephone intake and draws up your profile. For this entire process we charge a one-off fee of 50 euros (incl. VAT), payable at registration.

Monthly fee

Once your profile is online, a monthly subscription of 25 euros (incl. VAT) applies. This subscription continues until you unsubscribe or until a nikaah is concluded.

Best-efforts commitment and evaluation conversation

Hisaab actively works to find a suitable match for you and responds to every proposal you put forward yourself. This is a best-efforts commitment, not a guaranteed outcome: a marriage cannot be guaranteed. If three proposals have taken place involving contact with the Mahram or Wali without leading to a nikaah, an evaluation conversation follows to discuss how we can help you further. This evaluation conversation is included in the monthly subscription.

Cost summary

Sign-up fee (one-off, at registration): 50 euros incl. VAT. Monthly fee (from the moment your profile goes online): 25 euros incl. VAT per month. Best-efforts commitment and evaluation conversation: included.

Academy subscription

The Hisaab Academy subscription costs €10 per month (including VAT) and is paid online via our payment provider Stripe; the subscription can be cancelled monthly via your membership management page.

Giving a gift

You can pay for someone else's matchmaking in advance, by bank transfer. There are three gift packages: the sign-up only for 50 euros, half a year of matchmaking for 200 euros and a full year of matchmaking for 350 euros. All amounts include VAT. The recipient receives a personal code and uses it to register; the sign-up and the covered period are then already paid, at no extra cost.

Donating towards a goal

You can also donate towards a specific goal, by bank transfer, for example helping someone on their way for half a year or a full year (200 or 350 euros), a month of matchmaking (25 euros), a month of relationship therapy (30 euros) or a month of Academy (10 euros). All amounts include VAT. There is no public pot and no ANBI status: a donation is a payment for a service and does not qualify for tax deduction.

No automatic renewal

After a gift we never renew a subscription automatically. Well before the end of the covered period we send you an email with the payment details to continue (25 euros per month incl. VAT, by bank transfer). If you do not transfer anything, it simply stops.

Unredeemed code

If the recipient does not redeem a gift code, we send the buyer a reminder after six months. If the code has still not been redeemed after twelve months, it expires and we spend the amount as a general gift on the matchmaking. This is also stated at purchase.
